1. General Provisions
1.1. The Spiritual Administration of the Association Church of the Mother of God, hereinafter referred to as the Church, (former name of the Spiritual Administration of the Association “Orthodox Church of the Mother of God “State”) is a non-profit religious organization that unites on a voluntary basis religious organizations of the faith of the Theotokos branch, which operate on the territory of Ukraine.
1.2. By religious affiliation, the Church professes the confession of the Theotokos branch.
1.3. In its activities, the Church is guided by the Constitution of Ukraine, the Law “On Freedom of Conscience and Religious Organizations”, current legislation and other normative acts in force on the territory of Ukraine, and this Statute.
1.4. The Church is a legal entity from the date of its state registration, owns property, has an independent balance sheet, in accordance with the procedure established by law can open current and other accounts, including foreign currency accounts, in state and commercial banks, has a round seal with its symbols (an image of the Mother of God to the waist with a crown, in the hands the Mother of God is holding a dove), stamps and letterheads. The Church has other rights that do not contradict the current legislation of Ukraine.
1.5. The Church is not responsible for the obligations of its members, and members are not responsible for the obligations of the Church.
1.6. In its statutory activities, the Church adheres to the principles of interconfessional cooperation between Christian churches and other confessions.
1.7. The Church carries out its activities on the territory of Ukraine.
1.8. Location of the governing body of the Church: 6A Synoozerna st, apt. 112, Kyiv, 04128.
2. Purpose, objectives and main forms of activity
2.1. The Church has the following goals and objectives:
spreading the faith of the Theotokos branch;
promoting the spiritual awakening of piety in Holy Kievan Rus;
educating believers on the principles of brotherhood, interreligious tolerance and spiritual unity;
formation of a highly spiritual healthy lifestyle, a pious and strong family;
coordination of the activities of religious organizations that are part of the Church;
development of theological education;
assistance in the establishment and registration of new religious organizations of the faith of the Theotokos branch and assistance to them in the acquisition and construction of religious buildings;
representation and protection of the interests of religious organizations that are part of the Church;
missionary, evangelizing, charitable, and publishing activities.
2.2. The main forms of activity of the Church are:
сommunication between religious organizations that are part of the Church;
providing organizational, material, informational, consultative, methodological, legal and other necessary assistance to religious organizations that are part of the Church;
creation of theological educational institutions for the training of clergy and other ministers of religious specialties necessary for the Church;
organization of courses and spiritual counseling centers;
conducting courses and seminars to improve the skills of preaching, missionary and educational personnel; worship, religious rites and ceremonies in religious buildings, structures and adjacent territories, in other places provided to religious organizations for this purpose, in places of pilgrimage, in institutions of religious organizations, in cemeteries, in places of individual burials and in crematoriums, as well as in residential premises;
organization and support of missionary service, skete, ascetic activities, pilgrimage;
organization and holding of conferences and seminars, mass evangelistic and charitable events, concerts of sacred music and singing, lecturing, demonstration of films and videos of religious content;
publication and distribution of spiritual literature, audio and video materials of religious content, preparation of television and radio programs.
2.3. In order to carry out its statutory activities, the Church, in accordance with the procedure established by law, has the right to:
perform religious ceremonies in medical, treatment and prevention institutions, orphanages, boarding houses for the elderly and disabled, in institutions that execute criminal punishments in the form of deprivation of liberty, at the request of citizens staying there; in premises specially provided by the administration or other organizations for this purpose;
organize and conduct charitable events to provide humanitarian aid to the most vulnerable segments of the population (large families, orphans, disabled people, pensioners, single citizens, etc.);
maintain relations with unions, associations, other organizations, including international ones, whose activities correspond to its statutory goals;
coordinate the activities of religious organizations that are part of the Church in relations with institutions of state power and local self-government;
conclude agreements on cooperation and joint activities with religious, charitable and other non-profit organizations;
participate in the organization and work of conferences, seminars and meetings, including international ones, on the issues of its statutory activities;
invite foreign citizens to take part in professional, including preaching, religious activities in organizations that are part of the Church;
establish publishing, printing, manufacturing, restoration and construction, agricultural and other enterprises, as well as charitable institutions (shelters, boarding schools, hospitals, etc.) in accordance with the current legislation of Ukraine;
assist in the creation of local religious organizations, establish theological educational institutions, missions, brotherhoods, monasteries;
publish, buy, export, import and distribute spiritual literature, printed, audio and video materials and other religious items;
establish societies, brotherhoods, associations, foundations and other associations of citizens for the implementation of charity, study and distribution of spiritual literature and other cultural and educational activities, which may have their own statutes, which are registered in accordance with the procedure established for public associations;
establish and maintain international relations and contacts, including for the purpose of pilgrimage, participation in meetings and other events, for religious education, as well as to invite foreign citizens for this purpose;
apply to citizens and organizations for voluntary donations and receive them;
build cultural and other buildings in accordance with the current legislation of Ukraine;
perform other actions that do not contradict the current legislation and this Statute.
3. Order of Establishment, Structure and Spiritual Administration.
3.1. The Church is founded on the principles of free expression of the will of religious organizations that have united in accordance with the procedure established by the current legislation of Ukraine for joint confession and propagation of faith.
3.2. Members of the Church are religious organizations, including those not registered (Thrones), as well as missions founded by the Church, monasteries, religious brotherhoods, and theological educational institutions.
3.3. Admission to the Church is carried out by the Spiritual Administration of the Church. The basis for admission to the Church is a written application of a religious organization. The application must be accompanied by the decision of the governing body of the religious organization on its accession to the Church and copies of the constituent documents (for legal entities). Admission to the Church is formalized by the decision of the Spiritual Administration of the Church and confirmed by a certificate issued by the Spiritual Administration of the Church.
3.4. Members have the right to:
participate in the administration of the Church in the manner prescribed by this Statute;
elect or invite a spiritual director, in consultation with the Council of Plenipotentiary Thrones;
make suggestions, comments and submit applications to all organs of the Church on matters related to its activities;
apply to the organs of the Church for help in the fulfillment of their tasks, the training of priests and their members, for the protection of their rights and interests;
receive information about the activities of the Church and members in accordance with the established procedure;
freely withdraw from the Church, except for religious organizations founded by the Church.
3.5. Members are obligated to:
comply with the requirements of this Statute;
follow the decisions of the governing bodies of the Church;
to participate in the life of the Church and strengthen its authority.
3.6. Membership in the Church is terminated by voluntary withdrawal or expulsion. The grounds for expulsion from the Church are the deviation of a religious organization that is a member of the Church from the fundamentals of the Church’s doctrine, violation and non-compliance with the decisions of the governing bodies, as well as repeated or gross violation of the canonical rules of the Church or the provisions of this Statute.
3.7. The supreme administrative governing body of the Church is the Council of Plenipotentiary Thrones (spiritual leaders of religious organizations that are members of the Church).
Members of the Council of Plenipotentiary Thrones are the Plenipotentiaries of the Thrones elected at the meeting of the founders of the Church, as well as the clergy of the Church with a rank not lower than a priest, who were included in the Council of Plenipotentiary Thrones of the Church by a written order (blessing) of the Head of the Council of Plenipotentiary Thrones of the Church or by a conciliar written order (blessing) approved by a majority of votes of the members of the Council of Plenipotentiary Thrones of the Church present at the meeting;
a member of the Council of the Plenipotentiary Thrones of the Church is confirmed for an indefinite period;
a member of the Council of Plenipotentiary Thrones of the Church may be removed from the Council of Plenipotentiary Thrones of the Church by a written order (blessing) of the Head of the Council of Plenipotentiary Thrones of the Church or by a conciliar written order (blessing) of the members of the Council of Plenipotentiary Thrones of the Church, approved by a majority of votes of the members of the Council of Plenipotentiary Thrones of the Church present at the meeting. The grounds for exclusion from the Council of the Plenipotentiary Thrones of the Church are non-participation in the work of the Council of the Plenipotentiary Thrones of the Church for one year, deviation from the doctrine of the Church, as well as repeated or gross violation of the canonical rules of the Church or the provisions of this Statute.
3.7.1. The Head of the Council of the Plenipotentiary Thrones of the Church, who is also the Plenipotentiary of the Church. The Head of the Council of the Plenipotentiary Thrones of the Church is the spiritual director of the Church.
The Head of the Council of the Plenipotentiary Thrones of the Church presides over the Council of the Plenipotentiary Thrones of the Church and is confirmed for an indefinite period;
the Head of the Council of the Plenipotentiary Thrones of the Church may be removed from office by the Council of the Plenipotentiary Thrones of the Church, by a majority of 2/3 of the total membership of the members of the Council of the Plenipotentiary Thrones of the Church, subject to an open vote and unanimous decision of all present members of the Council of Plenipotentiary Thrones of the Church. If such a decision is made, a new Head of the Council of Plenipotentiary Thrones of the Church shall be elected at the same Council of Plenipotentiary Thrones of the Church;
the exclusive competence of the Head of the Council of Plenipotentiary Thrones of the Church is the right to terminate the decision of the Council of Plenipotentiary Thrones or other governing body of the Church on matters of a religious or ecclesiastical-canonical nature, as well as the right to terminate the decision of the Spiritual Administration of the Church concerning the admission of a religious association to the Church or the expulsion of a religious association from the Church.
3.7.2. Vice-Chairmen of the Council of Plenipotentiary Thrones of the Church.
In order to resolve current issues of the Church’s activities, the Head of the Council of Plenipotentiary Thrones of the Church, by his written order (blessing), may appoint Vice-Chairmen of the Council of Plenipotentiary Thrones of the Church from among the members of the Council of Primate Thrones of the Church.
The duties and duration of the service of the Vice-Chairman of the Council of Plenipotentiary Thrones of the Church are approved by the Head of the Council of Plenipotentiary Thrones of the Church in the form of a written blessing (instructions);
the duties of the person temporarily deputing the Council of the Plenipotentiary Thrones of the Church include the preservation of the doctrine and ecclesiastical-canonical unity of the Church, the conduct of current affairs, as well as ensuring the organization of the meeting of the members of the Council of the Plenipotentiary Thrones of the Church as soon as possible in order to elect a new Head of the Council of the Plenipotentiary Thrones of the Church.
3.8. The Council of the Plenipotentiary Thrones takes place at least once a year. An Extraordinary Council of the Plenipotentiary Thrones may be convened by the decision of the Head of the Council of Plenipotentiary Thrones of the Church or by the Head of the Spiritual Administration, as well as by the decision of the majority of the members of the Council of Plenipotentiary Thrones of the Church from the list of members of the Council of the Plenipotentiary Thrones of the Church, or by the decision of the person temporarily deputing the Head of the Council of Plenipotentiary Thrones of the Church. The quorum of the Council is 2/3 of its members. The Council is presided over by the Head of the Spiritual Administration of the Church or the Head of the Council of the Plenipotentiary Thrones of the Church. In case of their absence, the chairman is the person who temporarily deputizes the Head of the Council of the Plenipotentiary Thrones of the Church.
3.9. Decisions of the Council of Plenipotentiary Thrones on all issues are taken by a simple majority of votes of the members of the Council present, except for the issues of making changes and additions to the Statute, liquidation and reorganization of the Church, which require a majority of 2/3 of the votes of the members of the Council, as well as the election of the Head of the Council of Plenipotentiary Thrones of the Church or the Head of the Spiritual Administration, which requires a single decision of the members of the Council of Plenipotentiary Thrones. Absent members of the Council of Plenipotentiary Thrones of the Church may express their opinion in any form (by telephone or Internet conferencing, telegram, through an entrusted person or messenger, etc.), which is recorded in the minutes.
3.10. The exclusive competence of the Council of the Plenipotentiary Thrones is:
adoption of the Statute of the Church, making changes and additions to the Statute;
determination of the main directions of the Church’s activities, adoption and amendment of the internal Statute and regulations governing the work of the Church; election and removal of the Head of the Council of Plenipotentiary Thrones of the Church;
election and removal of the Head of the Spiritual Administration of the Church, and members of the Auditing Commission;
approval of the reports of the Spiritual Administration of the Church and the Auditing Commission;
making decisions regarding the maintenance of the Church’s relations with unions, associations, religious centers and other organizations, including international ones;
making decisions on the liquidation and reorganization of the Church.
3.11. The permanent governing body of the Church is the Spiritual Administration. The Spiritual Administration consists of the Head of the Spiritual Administration of the Church, as well as members of the Spiritual Administration elected by the Head of the Spiritual Administration, who are appointed or dismissed by a written order (blessing) of the Head of the Spiritual Administration of the Church or by a written order (blessing) of the Head of the Council of Plenipotentiary Thrones of the Church. Persons who do not have priestly rank may also be elected or appointed as members of the Spiritual Administration.
3.12. The Spiritual Administration makes decisions at its meetings, which are convened as necessary, but at least once every six months. An extraordinary meeting of the Spiritual Administration may be convened by the Head of the Spiritual Administration or at the request of at least 1/2 of the members of the Spiritual Administration. The quorum of the Spiritual Administration is 2/3 of its members. The chairman of the meetings of the Spiritual Administration is the Head of the Spiritual Administration, and in case of his absence, the Vice-Chairman of the Spiritual Administration presides.
3.13. Decisions of the Spiritual Administration on all issues are made by open voting by a simple majority of votes of the members of the Spiritual Administration. If a member of the Spiritual Administration cannot take part in the meeting of the Spiritual Administration for valid reasons, he has the right to submit to the Spiritual Administration his opinion on the issue under consideration in writing, as well as by using the means of communication recorded in the minutes.
